Contracting Party

Avetec International (UK) Ltd

These Terms of Service ("Terms") govern your access to and use of the SitePhone.ai service (the "Service").

1. INTRODUCTION

Contracting party / merchant of record:

Avetec International (UK) Ltd (“Avetec”, “we”, “us”, “our”) is the reseller and contracting party for customers of the Service. You contract with Avetec in Avetec’s own name.

  • VAT: Avetec is currently not registered for VAT.

Service supply / technology provider:

The Service is powered and/or supplied by Big Mango Solutions Co., Ltd. (“BMS”) as Avetec’s supplier and (where applicable) sub-processor. Avetec remains responsible to you as the contracting party under these Terms.

By creating an account, paying for, or using the Service, you agree to these Terms and our Privacy Policy (together, the “Agreement”).

2. ACCOUNT REGISTRATION

2.1 Eligibility (B2B only)

The Service is provided on a business-to-business basis only. You must be an authorised representative of a business entity to create or administer an account. Consumer use is not supported.

2.2 Account creation and security

You must provide accurate business information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.3 Organisation members

Account administrators may invite additional team members and assign roles/permissions, where available.

3. SERVICE DESCRIPTION

3.1 SitePhone widget and portals

SitePhone.ai provides an embeddable VoIP widget that enables website visitors to initiate voice calls to a destination phone number you configure. The Service includes:

  • Widget script: a JavaScript widget embedded on your website(s)
  • Customer portal: a web dashboard for customers to manage subscriptions, view usage/call history, and wallet balance

Admin portal:

An internal admin portal exists for Avetec and/or BMS personnel only. It is not accessible to customers.

3.2 Plans and pricing

Plans and pricing are displayed in the customer portal. We may change plan pricing from time to time by providing reasonable advance notice, for example by email and/or in-portal notice.

4. WALLET, BILLING, AND PAYMENTS

4.1 Prepaid wallet model

The Service uses a prepaid wallet model. Subscription fees and call usage charges are deducted from your wallet balance.

4.2 Payment processing

Payments are processed via third-party payment processors. We do not store full card numbers; payment processors handle sensitive card data.

4.3 Bonus credits

Bonuses may be offered in the future, but are currently disabled. If bonus credits are offered, they are non-refundable.

4.4 Subscription fees (no pro-rata refunds)

Subscription fees are charged for the current billing period. If you cancel a subscription, cancellation takes effect at the end of the current billing period and the subscription fee for the current period is not refunded.

4.5 Wallet balance refunds

You may request a refund of your remaining wallet balance by emailing contact@sitephone.ai. Any bonus credits (if offered) are non-refundable.

4.6 Per-minute call billing

Calls are billed per minute at the rate specified by your plan. Country surcharges may apply depending on destination and plan.

5. SUBSCRIPTION LIFECYCLE

5.1 Activation

Subscription activation may include verification steps (for example, verifying the destination phone number) to prevent fraud and abuse.

5.2 Cancellation

You can cancel an active subscription through the customer portal. Cancellation takes effect at the end of the current billing period. There is no “first cancellation” full refund window.

5.3 Suspension

If your wallet balance is insufficient for renewal or for a call to connect, your subscription and/or calls may be suspended or blocked until you top up.

5.4 Account closure

You may request closure of your account by contacting contact@sitephone.ai. Wallet refunds (if any) are handled as described above. Data retention and deletion are governed by the Privacy Policy.

6. VOIP SERVICE LIMITATIONS (IMPORTANT)

6.1 Not a telephone replacement

The Service is not a replacement for traditional telephone services.

6.2 No emergency services

The Service does NOT support emergency calls (for example, 999, 112, 911). Do not rely on it for emergency communications.

6.3 No call recording

The Service connects calls; it does not record call audio and we do not store voice recordings.

6.4 Service dependencies

The Service relies on third-party providers, infrastructure, and internet connectivity; call quality may vary, and Avetec does not guarantee uninterrupted availability or error-free operation.

7. WIDGET EMBEDDING — YOUR OBLIGATIONS

If you embed the widget on your website, you agree to:

  1. Provide appropriate privacy disclosure to your visitors, including disclosure of fingerprinting and telemetry used by the widget.
  2. Implement consent mechanisms where required by applicable law in your jurisdiction.
  3. Not embed the widget on websites primarily directed at children under 16.

8. ACCEPTABLE USE

You must not use the Service for unlawful activity, harassment, fraud, robocalling, caller identity spoofing, or attempts to bypass geo-restrictions or abuse-prevention controls. We may suspend or terminate accounts for violations.

9. DATA PROTECTION

Personal data is processed as described in our Privacy Policy.

10. INTELLECTUAL PROPERTY

The Service and underlying technology are owned by Avetec and/or its licensors/suppliers. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

12. LIMITATION OF LIABILITY (B2B)

1) No indirect or consequential losses.

To the maximum extent permitted by law, neither party shall be liable for any indirect or consequential damages or losses, including loss of profit, revenue or business, loss, alteration, destruction or corruption of data (or the cost of recreating it), loss of goodwill, or losses that cannot reasonably be foreseen.

2) Liability cap.

In all circumstances, and to the maximum extent permitted by law, Avetec’s total aggregate contractual liability arising out of or in connection with the Service (whether in contract, tort including negligence, misrepresentation, restitution, or otherwise) shall not exceed the total tax-exempt Service charges actually paid for the Service during the three (3) months preceding the event giving rise to the claim.

For clarity:

  • “Service charges” means subscription fees and call usage charges for the Service.
  • “Service charges” does not include wallet top-ups, taxes (if any), chargebacks, refunds, or any non-refundable bonus credits.
  • “Tax-exempt” means excluding VAT or similar sales taxes (if any).

3) Third-party services.

Avetec shall not be liable for any direct or indirect damages caused based on the use of service-related systems or services provided by third parties (including without limitation telecommunications providers, payment processors, hosting providers, and other infrastructure providers), except to the extent Avetec has expressly assumed responsibility for such services in writing.

4) Non-excludable liability.

Nothing in these Terms limits or excludes liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; or (c) any other liability that cannot be limited or excluded under applicable law.

13. TERMINATION

You may terminate by cancelling subscriptions and/or requesting account closure. We may suspend or terminate for breach, illegal use, or security risk.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be notified via email and/or in the portal.

15. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of England and Wales.

16. NOTICES

Notices to you will be sent to your account email. Notices to Avetec should be sent to: contact@sitephone.ai.

SitePhone.ai

SitePhone.ai is a service operated by Avetec International (UK) Ltd, a company registered in the United Kingdom. Customer subscriptions, billing, and payments for SitePhone.ai are handled by Avetec International (UK) Ltd. Payments are processed securely via Stripe.

The SitePhone technology and underlying software are developed and maintained by Big Mango Solutions, the creator of the SitePhone platform, which provides the technical infrastructure supporting the service.
